Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and COGNIXA LABS LLC ("Cognion," "we," "us," or "our") governing your access to and use of cognion.io, including our website, API services, and related offerings (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Services.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services. By creating an account, you represent and warrant that:

• All information you provide is accurate, current, and complete
• You will maintain the accuracy of such information

Fees and Payment

Pricing

Certain features require payment of fees. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice to existing customers.

Payment Terms

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method on file
• Failure to pay may result in service suspension or termination
• You are responsible for all taxes, duties, and assessments

API Usage Limits

API access is subject to rate limits and usage quotas based on your subscription tier. Exceeding limits may result in additional charges or temporary throttling. Enterprise customers may negotiate custom limits.

Intellectual Property

Our Rights

All content, features, functionality, trademarks, logos, and intellectual property rights in the Services are owned by Cognion or our licensors. You may not use our trademarks without prior written permission.

Your Content

You retain ownership of any content you submit through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely to provide and improve the Services.

Feedback

Any feedback, suggestions, or ideas you provide are non-confidential and may be used by us without compensation or attribution.

Disclaimers and Limitations

Indemnification

You agree to indemnify, defend, and hold harmless Cognion, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit.

Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting us. Termination does not relieve you of any payment obligations for services already rendered.

Termination by Us

We may suspend or terminate your access immediately, without notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent, abusive, or illegal activity
• Prolonged inactivity
• At our discretion for any reason

Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your account data after 90 days. Provisions regarding intellectual property, disclaimers, limitations of liability, and dispute resolution survive termination.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration shall take place in Cheyenne, Wyoming. You waive any right to a jury trial or to participate in a class action.

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to systems.

General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cognion
• Amendments: We may modify these Terms at any time. Material changes will be notified via email or website notice
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our consent. We may assign without restriction
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
• Export Compliance: You agree to comply with all applicable export and import laws
